Service.

These Terms of Service govern your use of the DaCosta Consulting website and any services we provide. By accessing our site or engaging our services, you agree to these terms. Please read them carefully — they're written to be understood, not to confuse.

Who We Are

DaCosta Consulting ("we," "us," or "our") is a web design and digital strategy agency operating at dacostaconsulting.ca. We provide website design, development, funnel building, and related digital services to businesses and entrepreneurs.

By using this website or purchasing our services, you ("the client" or "you") agree to be bound by these Terms of Service.

Use of This Website

You may use our website for lawful purposes only. By accessing dacostaconsulting.ca, you agree not to:

  • Use the site in any way that violates applicable local, national, or international law
  • Attempt to gain unauthorised access to any part of the website or its underlying systems
  • Transmit any unsolicited or unauthorised advertising or promotional material
  • Reproduce, duplicate, or exploit any portion of the site without our express written permission
  • Use automated tools to scrape, crawl, or harvest content from this website

We reserve the right to restrict access to all or part of the website at our discretion, without notice.

Services & Engagements

All services provided by DaCosta Consulting are subject to a separate written agreement, proposal, or statement of work agreed upon by both parties before work begins. These Terms of Service apply in addition to any such agreement.

We reserve the right to decline any project or engagement at our sole discretion. Acceptance of a deposit or signed proposal constitutes the start of a formal engagement.

No work begins without a signed agreement and deposit. Verbal commitments, emails, or social messages do not constitute a binding service agreement.

Payments & Fees

Payment terms, amounts, and schedules are outlined in your individual project proposal or service agreement. The following general terms apply to all engagements:

  • A non-refundable deposit is required to secure your project start date
  • Remaining balances are due according to the milestones outlined in your agreement
  • Late payments may result in paused work until the outstanding balance is settled
  • All prices are in Canadian dollars (CAD) unless otherwise stated
  • Invoices unpaid after 14 days of the due date may incur a late fee of 1.5% per month

Revisions & Scope

Each project includes a defined number of revision rounds as specified in your proposal. Requests that fall outside the agreed scope — including new pages, features, or significant design changes — will be quoted separately as additional work.

We make every effort to deliver projects on the agreed timeline. Delays caused by late feedback, missing assets, or unclear direction from the client may affect delivery dates without penalty to DaCosta Consulting.

Intellectual Property

Upon receipt of final payment, you will own the completed website deliverables created specifically for your project. The following exceptions and conditions apply:

  • DaCosta Consulting retains ownership of all work until payment is received in full
  • We retain the right to display your completed project in our portfolio and marketing materials unless you request otherwise in writing
  • Third-party assets (fonts, stock images, plugins, themes) remain subject to their respective licences — it is your responsibility to maintain those licences after handoff
  • Any proprietary frameworks, systems, or methodologies we use remain the intellectual property of DaCosta Consulting

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. We will not disclose your business strategies, financial information, or unreleased products to third parties without your consent.

Likewise, we ask that you treat our internal processes, pricing structures, and methodologies as confidential.

Cancellations & Refunds

If you wish to cancel a project after work has commenced, the following applies:

  • The initial deposit is non-refundable under all circumstances
  • Any work completed up to the point of cancellation will be invoiced at our standard hourly rate and must be paid before deliverables are released
  • Cancellation requests must be made in writing via email

We reserve the right to cancel an engagement if a client is repeatedly unresponsive, abusive, or acting in bad faith. In such cases, a refund for unused portions of the project will be provided at our discretion.

Limitation of Liability

DaCosta Consulting provides all services and website content on an "as is" basis. To the fullest extent permitted by law, we are not liable for:

  • Any indirect, incidental, or consequential loss arising from the use of our services or website
  • Loss of revenue, data, or business opportunity resulting from a project delay or deliverable
  • Issues arising from third-party platforms, plugins, hosting providers, or tools we recommend
  • Results of marketing campaigns, lead generation funnels, or conversion outcomes — as these depend on many factors outside our control
We build the best possible product for every client. However, we cannot guarantee specific business outcomes such as revenue growth, lead volume, or search rankings. Results depend on your market, offer, and execution.

Third-Party Services

We may recommend or integrate third-party tools and platforms as part of your project — including hosting providers, CRMs, payment processors, and email marketing platforms. We are not responsible for the performance, pricing changes, or terms of those services.

Any costs associated with third-party tools or licences are separate from our service fees and are the client's responsibility unless explicitly included in a written proposal.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of Ontario.

Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes your acceptance of the revised terms. We recommend reviewing this page periodically.
